TERMS & CONDITIONS

1. Program Overview The C-Suite ("Program") is a six-month hybrid coaching program offered by Melissa Rodgers ("Provider") that includes individual coaching, group coaching, and additional resources.

2. Payment Terms and Commitment

2.1. By enrolling in the Program, you ("Client") are committing to a full six-month term, regardless of the payment option selected.

2.2. Payment options (2023) include:
- Single payment of $3500USD
- Six monthly payments of $647 USD
- Nine monthly payments of $444 USD (this is an extended plan paying for six months of program access)
Special rates may be available for Canadian residents

2.3. If Client selects a payment plan, they are legally obligated to complete all payments, regardless of:
- Program participation level
- Program satisfaction
- Business circumstances
- Personal circumstances
- Decision not to continue participation

2.4. Extended payment plans (e.g., 9-month plans) require completion of all payments regardless of whether Client chooses to reenroll after the initial six-month period.

3. Refund Policy

3.1. The Program fees are non-refundable.

3.2. No refunds will be issued for:
- Partial participation
- Non-participation
- Dissatisfaction with the Program
- Change in business circumstances
- Personal emergencies
- Technical difficulties

4. Program Access and Delivery

4.1. The Program includes:
- Monthly 1:1 coaching calls
- Monthly group coaching calls
- Quarterly virtual VIP days
- Access to resource materials

4.2. Program delivery is subject to:
- Internet connectivity
- Technology platform availability
- Schedule availability
- Force majeure events

5. Disclaimers and Limitations of Liability

5.1. Results Disclaimer: The Provider makes no guarantees regarding:
- Revenue generation
- Income increases
- Business growth
- Client acquisition
- Time management improvements
- Marketing results

5.2. Results vary based on numerous factors including but not limited to:
- Client's effort and implementation
- Market conditions
- Economic factors
- Individual business circumstances
- Time invested
- Previous experience
- Skills and capabilities

5.3. Client acknowledges that testimonials and examples used in Program marketing:
- Represent individual experiences
- Are not guarantees of similar results
- May not be typical or average outcomes

6. Intellectual Property

6.1. All Program materials, including but not limited to:
- Course content
- Frameworks
- Methodologies
- Resources
- AI assistant protocols remain the exclusive property of the Provider.

6.2. Client may not:
- Share access credentials
- Distribute Program materials
- Record sessions without permission
- Reproduce content for commercial use

7. Program Modifications

7.1. Provider reserves the right to:
- Modify Program content
- Adjust delivery methods
- Update systems and tools
- Revise schedules
- Substitute guest experts

8. Termination
8.1. Provider reserves the right to terminate Client's participation for:
- Payment default
- Terms violation
- Disruptive behavior
- Inappropriate conduct
- Breach of confidentiality

8.2. Termination does not release Client from payment obligations.

9. Governing Law

9.1. These terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, except where prohibited by law.

9.2. Any dispute arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada, except where prohibited by applicable law.

9.3. For U.S. clients: Where required by U.S. state law, mandatory consumer protection provisions of your state of residence may apply Nothing in these terms shall deprive you of the protections of your state's consumer protection laws Any mandatory arbitration or dispute resolution requirements under your local jurisdiction will be honored

9.4. For Canadian clients outside British Columbia: Mandatory provincial consumer protection laws of your province of residence may apply Nothing in these terms shall deprive you of the protections of your provincial consumer protection laws

9.5. Choice of Venue: Client agrees that any legal action, unless prohibited by law, shall be brought in Vancouver, British Columbia, Canada Client waives any objection to such jurisdiction and venue where permitted by law Client agrees not to commence any legal proceedings in any other jurisdiction unless required by law

10. Agreement By enrolling in the Program and making any payment, Client acknowledges they have read, understood, and agreed to these terms and conditions in their entirety.
